Weerawong, Latham advise Asset World on Thailand’s biggest corporate listing

Weerawong, Chinnavat & Partners and Latham & Watkins have represented Asset World Corporation (AWC), Thai billionaire Charoen Sirivadhanabhakdi’s hospitality and retail arm, on its $1.6 billion listing on the Stock Exchange of Thailand.

Allen & Overy and White & Case advised the financial advisor and underwriters. Bank of America Merrill Lynch, Morgan Stanley and UBS are the joint international coordinators of the offering, while domestic underwriters include Kasikorn Securities, Bualuang Securities, Phatra Securities, and Siam Commercial Bank.

OJK Re-regulates Regulation concerning Increase of Capital without Rights Issue to Protect Minority Shareholders [Brought to you by AYMP]

The Indonesia Financial Services Authority (Otoritas Jasa Keuangan – “OJK”) enacted OJK Regulation No. 14/POJK.04/2019 (“POJK 14/2019”) concerning Amendment to OJK Regulation No. 32/POJK.04/2015 concerning Capital Increase of Public Companies with Pre-Emptive Rights. Interestingly, POJK 14/2019 regulates the provisions regarding public company’s increase of capital without rights issue (“Non-Rights Issue”) that previously governed under OJK Regulation No. 38/POJK.04/2014 concerning Capital Increase of Public Companies without Pre-Emptive Rights and also revokes such regulation. As a result, rules on increase of capital, whether with rights issue or Non-Rights Issue, are now regulated under POJK 14/2019.

Davis Polk & Wardwell, Skadden, Arps, Slate, Meagher & Flom and Commerce & Finance Law Offices have advised Chinese Internet search giant Baidu on the sale of a third of its Nasdaq-listed shares in travel service website Ctrip for about $1 billion. Jingtian & Gongcheng and Latham & Watkins have advised the underwriters.
